Acceptance of Terms

By accessing and using the BuildGravity website and services, you accept and agree to be bound by the terms and provision of this agreement.

Use License

Permission is granted to temporarily access the materials on BuildGravity's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to reverse engineer any software contained on the website
• Remove any copyright or other proprietary notations from the materials

Website Content

The materials on BuildGravity's website are provided on an 'as is' basis. BuildGravity makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Services

Consultation and Development Services

BuildGravity provides software development, automation consulting, and related technology services. Specific terms for services will be outlined in separate service agreements or statements of work.

No Guarantees

While we strive to provide high-quality services, we make no guarantees about specific outcomes, timelines, or results unless explicitly stated in a signed service agreement.

Platform Support

BuildGravity is committed to providing timely and effective support to our clients. Support requests submitted through our designated channels are typically responded to within 24 hours during business days. Resolution times may vary depending on the complexity of the issue.

Client Responsibilities

Content and Information

Clients are responsible for the content, data, and information they provide to BuildGravity, including any sensitive or proprietary information. We reserve the right to remove or decline to use any content that is illegal, offensive, or violates these terms.

Accuracy of Information

You agree to provide accurate, current, and complete information when engaging our services and to update such information as necessary.

Confidentiality

BuildGravity is committed to protecting the confidentiality of our clients' sensitive information. We will only use client information for the purpose of providing our services and will not disclose it to third parties without prior consent, except as required by law or as necessary to deliver the services.

User Conduct

You agree not to use the service to:

• Upload or transmit any content that is unlawful, harmful, or infringes on others' rights
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the service or servers connected to the service
• Use the service for any illegal or unauthorized purpose

Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of BuildGravity and its licensors. The service is protected by copyright, trademark, and other laws.

Privacy

Limitations of Liability

In no event shall BuildGravity or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on BuildGravity's website, even if BuildGravity or its authorized representative has been notified orally or in writing of the possibility of such damage.

Indemnification

You agree to defend, indemnify, and hold harmless BuildGravity and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees).

Payment Terms

Billing and Payments

Purchases and services are due and payable in accordance with the payment schedule agreed upon at the time of service. Late payments may result in interest charges, late fees, suspension of services, or termination of the agreement without notice.

Billing Disputes

If you believe you have been billed in error, you must contact BuildGravity within sixty (60) days of the billing date. Refunds or adjustments will not be issued for charges more than sixty (60) days old at the time of notification. You may withhold the disputed portion of any bill pending resolution, but must pay all non-disputed charges by the due date. BuildGravity will notify you of the results of our inquiry and either adjust the billing, issue a credit, or notify you that the disputed amount is still owed.

Discounts and Promotions

Any discount, promotion, or additional benefit offered as part of an agreement applies only during the initial contract period unless otherwise stated. Promotional terms will not apply if the contract expires and continues month-to-month, if you migrate to a different service package, or if the agreement is renewed or cancelled. All discounts, offers, and promotions are subject to change, and BuildGravity reserves the right to end any promotion at any time.

Termination

Either party may terminate services at any time, with or without cause. Clients will be charged for services up until the date of termination. We may terminate or suspend your access immediately, without prior notice or liability, if you breach these Terms.

Dispute Resolution

Any disputes arising from these Terms of Service that cannot be resolved through good-faith negotiation may be submitted to binding arbitration in accordance with the rules of the ADR Institute of Canada. Before initiating arbitration, both parties agree to attempt to resolve the dispute through mediation. The arbitration shall take place in British Columbia, Canada, and the decision of the arbitrator shall be final and binding.

Governing Law

These terms and conditions are governed by and construed in accordance with the laws of British Columbia, Canada, and you irrevocably submit to the exclusive jurisdiction of the courts in British Columbia.

Changes to Terms

BuildGravity reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
